These Terms of Service (“Terms”) constitute a legally binding agreement between Instapaytient, Inc. (“Instapaytient,” “we,” “us,” or “our”) and the business or organization purchasing, accessing, or using the Instapaytient platform (“Customer,” “you,” or “your”).
By creating an account, purchasing a subscription, clicking to accept these Terms, or accessing or using the Services, you agree to be bound by these Terms.
Instapaytient provides software and technology designed to help healthcare practices engage with prospective and existing patients, provide information about treatments and services, facilitate patient interactions, present affordability and payment options, and enable other patient engagement and commerce functionality (the “Services”).
Features and functionality may vary depending on the subscription, plan, configuration, integrations, or services selected by Customer.
Instapaytient may improve, modify, update, or add to the Services from time to time.
Your specific subscription, including applicable fees, billing frequency, subscription period, included services, activation fees, usage charges, or other commercial terms, will be identified in the applicable checkout page, order form, plan description, invoice, or other ordering documentation presented to you at the time of purchase (“Order”).
Each Order is incorporated into and governed by these Terms.
If there is a conflict between an Order and these Terms regarding pricing, billing frequency, subscription duration, or other plan-specific commercial terms, the applicable Order will control with respect to those terms.
Customer agrees to pay all fees associated with its selected subscription or Order.
By providing a payment method, Customer authorizes Instapaytient and its payment service providers to charge that payment method for all fees when due according to the applicable Order, including applicable renewal fees.
Except where otherwise stated in an Order or required by law, fees paid to Instapaytient are non-refundable.
Customer is responsible for maintaining accurate billing and payment information.
Failure to pay amounts when due may result in suspension or termination of access to the Services.
Subscriptions automatically renew for successive periods equal to the then-current subscription term unless otherwise stated in the applicable Order.
To prevent automatic renewal, Customer must provide Instapaytient with written notice of cancellation at least thirty (30) days before the end of the then-current subscription term.
If cancellation notice is received fewer than thirty (30) days before the renewal date, the subscription will renew for the next applicable subscription term and Customer will remain responsible for the associated subscription fees.
Cancellation does not terminate or provide a refund for the then-current subscription term. Except as required by applicable law, fees paid to Instapaytient are non-refundable.
Any minimum subscription commitment, initial term, promotional period, or other plan-specific condition disclosed in an Order remains applicable.
Customer is responsible for maintaining the confidentiality and security of its account credentials and for all activity occurring through its account.
Customer agrees to provide accurate information and promptly update information that becomes inaccurate.
Customer may only provide access to employees, contractors, and other authorized personnel who require access for Customer’s legitimate business purposes.
Customer is responsible for the actions of its authorized users.
Customer may provide Instapaytient with information, content, treatment descriptions, pricing, images, documents, provider information, practice information, instructions, or other materials (“Customer Content”).
Customer retains ownership of Customer Content.
Customer grants Instapaytient a non-exclusive license to host, process, reproduce, display, transmit, and otherwise use Customer Content as reasonably necessary to provide, operate, maintain, support, and improve the Services.
Customer represents that it has all rights and permissions necessary to provide Customer Content to Instapaytient and to authorize its use as contemplated by these Terms.
Customer is responsible for the accuracy and legality of Customer Content, including treatment descriptions, pricing, promotional claims, provider information, and other information supplied by Customer.
Certain Services may use artificial intelligence, generative artificial intelligence, machine learning models, or automated systems to generate responses, organize information, assist users, or facilitate interactions.
AI-generated responses may be incomplete, inaccurate, or otherwise contain errors.
Customer acknowledges that AI-generated information should not be relied upon as medical advice, diagnosis, treatment recommendations, or a substitute for the professional judgment of a qualified healthcare provider.
Instapaytient may implement safeguards, instructions, restrictions, and other measures intended to limit inappropriate uses of AI features, but does not guarantee that AI-generated outputs will always be accurate or error-free.
Customer is responsible for reviewing the information and instructions it provides to Instapaytient and for appropriately supervising its use of the Services.
Instapaytient is a technology provider and does not practice medicine, dentistry, or any other healthcare profession.
The Services do not provide medical diagnoses, prescribe treatments, determine clinical eligibility, or replace consultation with a licensed healthcare professional.
Customer remains solely responsible for all clinical decisions, treatment recommendations, patient care, informed consent, regulatory obligations, and the practice of medicine or other healthcare services.
The Services may allow users to access, explore, apply for, prequalify for, or use financing or payment products offered by independent third parties.
Instapaytient is not a lender and does not make credit decisions unless expressly stated otherwise.
Financing approvals, credit limits, interest rates, repayment terms, eligibility requirements, and other financing decisions are determined by the applicable financing provider.
Instapaytient does not guarantee that any patient or consumer will qualify for financing or receive any particular financing terms.
Customer agrees to comply with any requirements applicable to third-party financing or payment services it elects to make available through Instapaytient.
The Services may integrate with or provide access to third-party products and services, including payment processors, financing providers, communications providers, artificial intelligence providers, analytics services, and other technology platforms.
Third-party products and services may be governed by their own terms and privacy policies.
Instapaytient is not responsible for the availability, performance, decisions, policies, or acts or omissions of third-party providers.
Customer acknowledges that its use of the Services may involve information relating to prospective or existing patients.
Each party agrees to comply with applicable privacy and data protection laws applicable to its activities under these Terms.
Customer is responsible for ensuring that it has all notices, permissions, consents, and other legal bases necessary to provide information to Instapaytient and use the Services in connection with its patients and prospective patients.
Where Instapaytient and Customer enter into a separate Business Associate Agreement (“BAA”), the BAA will govern the parties’ respective obligations concerning Protected Health Information to the extent required by applicable law.
The Services may enable email, SMS, or other communications between Customer and patients or prospective patients.
Customer is responsible for its use of these communication features and for complying with applicable laws governing marketing, consent, privacy, and electronic communications.
Customer may not use the Services to send unlawful, deceptive, abusive, or unauthorized communications.

Instapaytient may suspend access where reasonably necessary to protect the Services, users, third parties, or Instapaytient.
Instapaytient and its licensors retain all rights, title, and interest in and to the Services, including software, technology, designs, interfaces, workflows, artificial intelligence systems, documentation, trademarks, and other intellectual property.
Except for the limited right to use the Services during an active subscription, no rights are transferred to Customer.
If Customer provides suggestions, ideas, recommendations, or other feedback regarding the Services, Instapaytient may use that feedback without restriction or obligation to Customer.
Instapaytient will use commercially reasonable efforts to maintain availability of the Services but does not guarantee uninterrupted or error-free operation.
The Services may occasionally be unavailable because of maintenance, updates, third-party outages, technical failures, circumstances beyond Instapaytient’s reasonable control, or other operational reasons.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
INSTAPAYTIENT DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
INSTAPAYTIENT DOES NOT GUARANTEE ANY PARTICULAR NUMBER OF PATIENTS, SALES, FINANCING APPROVALS, CONVERSIONS, REVENUE, OR OTHER BUSINESS RESULT FROM USE OF THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INSTAPAYTIENT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, DATA, OR GOODWILL ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INSTAPAYTIENT’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY CUSTOMER TO INSTAPAYTIENT DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Customer agrees to defend, indemnify, and hold harmless Instapaytient and its officers, directors, employees, affiliates, and agents from claims, damages, liabilities, losses, and reasonable expenses arising from or relating to Customer Content, Customer’s provision of healthcare services, Customer’s violation of applicable law, Customer’s misuse of the Services, or Customer’s breach of these Terms.
Instapaytient may suspend or terminate Customer’s access to the Services for material breach of these Terms, nonpayment, unlawful use, security risks, misuse of the Services, or where suspension or termination is reasonably necessary to protect Instapaytient, its users, or third parties.
Upon termination or expiration, Customer’s right to access and use the Services will cease, except as otherwise expressly provided.
Sections that by their nature should survive termination will survive, including provisions concerning payment obligations, intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution.
Instapaytient may update these Terms from time to time.
Where required by applicable law or where a change materially affects Customer’s rights or obligations, Instapaytient will provide reasonable notice of the change.
Continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles.
The parties agree that disputes arising from or relating to these Terms or the Services will be resolved in the state or federal courts having jurisdiction as specified by applicable law, unless the parties separately agree to another dispute resolution procedure.
Customer may not assign or transfer these Terms without Instapaytient’s prior written consent.
Instapaytient may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of substantially all of its assets, or similar transaction.
These Terms, together with each applicable Order, Privacy Policy, BAA where applicable, and any other agreement expressly incorporated by reference, constitute the agreement between Customer and Instapaytient regarding the Services and supersede prior agreements or understandings concerning the same subject matter.
The parties agree that electronic acceptance of these Terms has the same force and effect as a physical signature to the extent permitted by applicable law.
Records maintained electronically by Instapaytient or its service providers concerning Customer’s acceptance, Order, subscription, and payment may be used to evidence the transaction.
